Accounting Services
Maintain the general ledger and records of the investment fund and general management entities, prepare monthly, quarterly and annual financial statements including investor capital accounts.

Start-up Services
Review of offering memorandums, partnership agreements and administrative processes prior to implementation. Also, assistance in setting up medical benefit plans, 401-Ks, business insurance and arranging for AMEX and calling cards as required by new small businesses.

Report Generation
Produce internal management reports as well as quarterly and annual reports to investors. This includes acting as liaison to investors as required. Internal reports include calculation of IRR and comparison of IRR to Venture Economic benchmarks and expense tracking.

Cash Management
Manage the capital contribution process as well as payment of operating expenses.

Distribution Management
Includes both cash and stock distributions to investors as well as coordination with brokers as required.

Regulatory Compliance
Prepare and coordinate with counsel required SEC reports for 144, 145 restricted stock, Director Form 3,4,5 reports, and other SEC filings as required.

Fund Liquidations
Assist in the orderly liquidations of fund assets and closing of all legal entities.

Tax Reporting
Prepare and submit all required Federal and State Tax returns and K-1s to investors. This service may be outsourced to other service providers as selected by the client.

Managing Independent Audit Process
Prepare materials and act as a manager for the annual independent audit of the fund.

Coordination with Fund’s Legal Counsel
As required at start-up and on an ongoing basis.

Other Administrative Services
Includes financial and administrative strategic and tactical planning as required, as well as assistance in establishing methodologies and processes for portfolio valuation analysis.

SBIC Services
Includes pre-licensing planning (preparation of exhibit F and MAQ) and post-licensing compliance and monitoring including preparation of Form 468 and preparation for and coordination of SBA audit.
